Welcome to MISDP Sales Training, managed and operated by QOLD Business & People Development Inc. (“the Company”).By registering, attending, purchasing, accessing, or participating in any MISDP Sales Training program (the “Training”), you (“Client,” “Participant,” or “Attendee”) agree to the following Terms & Conditions.
These terms are intended to provide maximum legal protection for the Company and to limit, restrict, or eliminate any liability or claims by any participant, organization, or third party.
1. Non-Licensed, Training-Only Disclaimer
1.1. The Company does not provide any form of professional licensing, certification, accreditation, or regulated qualification.1.2. All MISDP Sales Training content is provided strictly for educational and training purposes only.1.3. The Company makes no guarantees, expressed or implied, regarding business performance, revenue outcomes, operational impact, or sales results.
2. No Guarantees or Promises of Results
2.1. Any examples, demonstrations, strategies, or case references used in the Training are illustrative only.2.2. The Company does not warrant or guarantee:
Increased sales or conversionsImproved performanceAchievement of specific business outcomesAny measurable or financial resultsSuitability of training for any specific purpose
2.3. All results vary based on the Client’s team, market conditions, implementation quality, and external business factors.
3. Limitation of Liability
3.1. To the fullest extent permitted by law, the Company, its trainers, employees, contractors, partners, and affiliates shall not be liable for:
Direct, indirect, incidental, or consequential damagesLoss of profits, revenue, business, or opportunitiesClaims arising from implementation (or failure to implement) training methodsMisinterpretation, misuse, or alteration of the provided contentAny damages resulting from communication, advice, or recommendations during training
3.2. Client agrees that the Company’s total liability, if ever required by law, shall be limited to the amount paid for the Training and no more.
4. Intellectual Property & Usage Restrictions
4.1. All training content—including methods, steps, slides, systems, diagrams, scripts, processes, models, worksheets, handouts, and digital materials—is the exclusive intellectual property of the Company.
4.2. Clients and participants may not:
Replicate, distribute, publish, or resell any training materialsTrain others using MISDP methods without prior written permissionUse the content to build a competing training programShare training materials outside their organization
4.3. Unauthorized use may result in legal action.
5. No Professional Advice
5.1. The Training does not provide legal, financial, HR, operational, or compliance advice.5.2. Any action taken by the Client based on Training content is done entirely at the Client’s own risk.
6. Attendance, Conduct & Participation
6.1. The Company may refuse access or remove any participant whose behaviour disrupts the training environment.6.2. No refunds or compensation will be provided for removal due to misconduct.
7. Cancellations, Rescheduling & Refunds
7.1. All sales are final.7.2. The Company does not offer refunds of any kind.7.3. Rescheduling requires at least 14 business days’ notice and is subject to trainer availability.7.4. Failure to attend a scheduled session is considered a forfeited session, with no refund or makeup time.
8. Indemnification
Client agrees to fully indemnify and hold harmless the Company from all claims, liabilities, losses, damages, or expenses arising from:
Participation in the TrainingImplementation or misinterpretation of conceptsActions taken by employees or attendeesThird-party complaints related to the Client’s use of the trainingAny unauthorized adaptation or distribution of training content9. No Employment or Partnership Relationship
Participation in the Training does not create a joint venture, partnership, employment, or agency relationship between the Client and the Company.
10. Media, Recording & Privacy
10.1. The Client may not record, copy, or reproduce training sessions without written approval.10.2. The Company may record sessions for quality or documentation purposes.
11. Force Majeure
The Company is not liable for delays or cancellations caused by factors outside its control, including but not limited to: illness, emergencies, internet failures, strikes, government restrictions, or acts of nature.
12. Governing Law
These Terms & Conditions are governed by the laws of the Province of Ontario, Canada, and any disputes shall be resolved exclusively in the courts within that jurisdiction.
13. Acceptance of Terms
By registering, attending, or purchasing MISDP Sales Training, the Client acknowledges that:
They have read these Terms & ConditionsThey fully understand and accept all limitations, disclaimers, and liability releasesThey waive any right to legal claims against the Company, its trainers, employees, and affiliates14. Entire Agreement
These Terms constitute the full and complete agreement between the parties and supersede all previous communications, proposals, or understandings.
